We have adopted a Code of Ethics that applies to
each of our employees and each employee of our
subsidiaries, including our principal executive officer,
principal financial officer and principal accounting officer.
The Code of Ethics covers all areas of professional conduct,
including conflicts of interest, disclosure obligations,
confidential information, as well as compliance with all laws,
rules and regulations applicable to our business. We encourage
all employees, officers and directors to promptly report all violations
of the Code to the appropriate persons identified in the Code.

In the event that an amendment to, or waiver from, a provision of the code of Ethics that applies to our executive officers is necessary, we intend to post such information on our website.
